The Johns Hopkins University Applied Physics Laboratory (JHU/APL or APL), through its Business & Information Service Department provides a contracting environment. Below are some sample legal contracts for doing business with JHU/APL. Contracts can be tailored to meet the individual requirements of a project or program.

CONFIDENTIAL DISCLOSURE AND NON-USE - Lists conditions under which a company may receive from JHU/APL a disclosure of the JHU/APL Technology for the limited purpose of evaluation and assessment.

GENERAL TEAMING - Defines conditions under which JHU/APL and XYZ determine that they would benefit from the joint preparation and submission of a proposal. The parties establish and define their respective responsibilities, obligations and rights with regard to the Proposal and any contract awarded.

LICENSE - Conditions under which receipt of JHU/APL INTELLECTUAL PROPERTY is acknowledged by XYZ and states the legally binding conditions JHU/APL and XYZ agree to for such transfer.

OPTION - Defines conditions (consideration of the premises and the mutual promises and covenants) whereby JHU/APL patents are licensed to XYZ.

SPONSORED RESEARCH - Industry funding for specified statement of work; limited time to perform; specific deliverables.

STANDARD BILATERAL DISCLOSURE AND NON-USE - Whereby JHU/APL and XYZ disclose certain information to each other on a confidential basis to evaluate whether there is a basis for a potential business relationship between the parties regarding _______________________________ and such disclosure is intended to assist the parties in their evaluation.

TEAMING NONDISCLOSURE - JHU/APL and XYZ are discussing entering into an arrangement for jointly submitting a proposal seeking an award of [a prime contract/cooperative arrangement] pursuant to a Request for Proposals ("RFP")] of the Sponsor. Defines the considerations of an exchange proprietary information, data and/or materials (collectively, "Proprietary Information") for the above purpose.

TECHNICAL SERVICES CONTRACT - Reimbursable technical assistance to companies that desire to obtain consulting services from the JHU/APL, or services in conjunction with a Facility Use Contract (portions of JHU/APL facilities are owned by the U.S. government and some restrictions on their use may apply).
